BY ENROLLING IN THE MEMBERSHIP OF WHITE WING INSURANCE SOLUTIONS LLC, YOU ARE CONFIRMING THAT YOU HAVE CAREFULLY READ, UNDERSTAND, AND AGREED TO THE FOLLOWING TERMS AND CONDITIONS.

1. General WWIS Membership Overview
Your WWIS membership commences on the date which you join WWIS (the “Commencement Date”). Membership rates are established by membership category type in the amounts offered by the White Wing Onboarding Team. WWIS has five membership categories: Base (free), Family, Circle, Circle plus, and Agency Enterprise. WWIS offers members two easy membership payment options:
(1) Annual Payment and (2) Monthly Payment.

MEMBERSHIPS AND SUBSCRIPTIONS

1.1 BECOMING A MEMBER

(a) You may sign up as a registered user of WWIS (a “Member”). To become a member, the WWIS Onboarding team will provide you with the relevant section to submit your online application to us. After review of your approval request, we grant you access to sign up for a base, family, circle, circle plus, or Agency Enterprise membership account.

(b) In the course of your use of the WWIS membership, you may be asked to provide certain personalized information to us (such information is referred to hereinafter as “agent Information”). This agent Information may include information from your DOI and similar profiles. Our information collection and use policies with respect to the privacy of such agent Information are set forth in the WWIS Privacy Policy. You acknowledge and agree that you are solely responsible for the accuracy and content of agent information, and you agree to keep it up to date.

(c) By placing an Order through the WWIS membership, you warrant that:

(i) You are legally capable of entering into binding contracts.

(ii) All registration information you submit is truthful and accurate.

(iii) You will maintain the accuracy of such information; and

(iv) Your use of the WWIS membership does not violate any applicable law or regulation.
1.2 ONCE A MEMBER
You are responsible for maintaining the confidentiality of your member account, password, and other agent Information and for restricting access to your Device to further help protect such information. You are responsible for updating your agent Information.
1.3 USE OF WWIS MEMBERSHIP BY MINORS
You must be 18 years of age, or the age of majority in your province, territory, or country, to sign up as a registered user of the WWIS membership.
2. MEMBERSHIP
As a WWIS Member, you will receive access to certain sections, features, and functions of the WWIS agent dashboard that are not available to non-members. By agreeing to become a WWIS Member you opt-in to receiving an occasional special offer, marketing, survey, and product-based communication emails. WWIS memberships and subscriptions are not transferable and therefore cannot be sold or exchanged or transferred in any way whatsoever.
2.1 SUBSCRIPTIONS

(a) WWIS account holders may access the service in two ways: an annual subscription option. For the purposes of a yearly subscription, a year constitutes 365 calendar days. And monthly subscription option. For the purposes of a monthly subscription, a 12-month period.

(b) Our “Yearly” subscriptions are paid for by an upfront one-off payment with automatic annual renewal. You acknowledge and agree that WWIS is authorized to charge the Payment Method used for (i) the initial annual subscription fee at the rate secured at the time of purchase, and (ii) the renewal subscription fee(s) at the effective rate in effect at the time of any such renewal. You must cancel your subscription before it renews to avoid billing the renewal subscription fee to the Payment Method you provided. Refunds cannot be claimed for any partial subscription period.

(b) Our “Monthly” subscriptions are paid for by a monthly payment with automatic renewal. You acknowledge and agree that WWIS is authorized to charge the Payment Method used for (i) the monthly subscription fee at the rate secured at the time of purchase, and (ii) the renewal subscription fee(s) at the effective rate in effect at the time of any such renewal. You must cancel your subscription before it renews to avoid billing the renewal subscription fee to the Payment Method you provided. Refunds cannot be claimed for any partial subscription period.

(e) You agree to promptly notify WWIS of any changes to the Payment Method you provided while any subscriptions remain outstanding. You are responsible for all applicable fees and charges incurred, including applicable taxes, and all subscriptions purchased by you.

(f) In the course of your use of the WWIS membership, WWIS and its third-party payment service provider (PayPal) may receive and implement updated credit card information from your credit card issuer to prevent your subscription from being interrupted by an outdated or invalid card. This disbursement of the updated credit card information is provided to WWIS and WWIS’s third-party payment service provider (PayPal) at the sole election of your credit card issuer. Your credit card issuer may give you the right to opt out of the update service. Should you desire to do so, please contact your credit card issuer.

(g) Our obligation to provide the Products only comes into being when we take receipt of your Order, and confirm your purchase to you by email. We shall confirm your Order and send you an email to confirm your access to the subscription purchased. Please quote the Order number in all subsequent correspondence with us. Prices in US Dollars include local taxes. You agree not to hold us responsible for banking charges incurred due to payments on your account. If payment is not received by us from the Payment Method you provided, you agree to pay all amounts due upon demand by us.

3. Annual Payment Membership Option
A. Terms and Dues By opting to pay the total amount of your WWIS membership dues in full, your credit/debit card will be processed for the total amount of the membership cycle on the day of your membership enrollment. For payment processing purposes, your credit/debit card information is required to be on your PayPal profile securely stored. Your membership will automatically renew upon the expiration of the current membership cycle.
B. Acknowledgement WWIS will provide you with an email acknowledgment of your membership enrollment for your records, specifying (a) the total payment amount, (b) these terms, and (c) the cancellation policy, to the email address provided in your membership profile.
4. WWIS Membership Monthly Payment Option
A. Terms and Dues By opting to pay your WWIS membership dues via recurring monthly installment payments (the “Monthly Payment”), you authorize WWIS to charge the credit card used during enrollment (“card on file”) for the total membership dues price monthly to be evenly distributed starting the first month of your membership and ending with the expiration month of your membership term (June or December, respectively). Subsequently, renewals will automatically be processed on the first of the month or the first business day thereafter of your new membership cycle (January 1 or July 1, respectively). Unless you cancel your membership or enrollment in the Monthly Payment in accordance with these terms, payment will continue to recur on that monthly schedule at the then-current applicable rate using the same form of payment used on the Commencement Date.
B. Acknowledgement WWIS will provide you with an email acknowledgment of your enrollment in the Monthly Payment option for your records, specifying (a) the monthly payment schedule, (b) these terms, and (c) the cancellation policy, to the email address provided in your membership profile.
5. Payment and Credit Card Terms
A. General WWIS Membership Payment and Credit Card Terms Payment Form. WWIS accepts credit and debit payments by PayPal, VISA, MasterCard, Discover, and American Express. If paying using a credit card that belongs to your institution/company, you represent that you are an authorized user of such credit card. If you become no longer authorized to use the card, you are responsible for updating and replacing the credit card information online through your online WWIS PayPal membership profile or by contacting WWIS Customer Relations.

. You are responsible for maintaining true, current, and accurate billing and payment information in your membership profile to facilitate Monthly Payments. Inaccurate billing and payment information may result in cancellation of your enrollment in the Monthly Payment option and potentially termination of your WWIS membership.

. All payments are made in United States dollars (USD).

Unpaid Balances. Should the card on file be declined or other issues arise with any Monthly Payment, WWIS will notify you by email and/or phone. If the card online is not updated, your enrollment in the Monthly Payment option will be deactivated, and you will be immediately responsible for payment of the total amount of your outstanding dues. If the attempt(s) to collect payment fail and are not rectified, your membership and associated benefits will terminate effective immediately.
Notification and Management. WWIS will send you an email notification about pending automatic renewal charges at least sixty (60) days and again thirty (30) days prior to your membership renewal. Communications will be sent to the primary email address associated with your WWIS membership account. Account Management. Enrollment details can be reviewed, modified, and managed online via your profile in “My Account” URL to login to the back-office system, or by contacting WWIS accounting@whitewinginsurance.com You are responsible for maintaining current profile information.
B. Monthly Payment Options Credit Card Terms. By enrolling in the Monthly Payment option, you authorize WWIS to process each Monthly Payment to WWIS from the card on file for your installment payments of WWIS membership dues. The Monthly Payment option authorization will remain in effect until withdrawn by you or terminated by WWIS.

6. AVAILABILITY OF WWIS Membership
6.1 Although we aim to offer you the best service possible, we make no promise that the WWIS membership will meet your requirements and we cannot guarantee that the WWIS membership and its related products and services will be fault free. If a fault occurs in the Products, please report it to us at support@whitewinginsurance.com and we will review your complaint and, where we determine it is appropriate to do so, correct the fault. If the need arises, we may suspend access to the Products while we address the fault. We will not be liable to you if the Products are unavailable for a commercially reasonable period.

6.2 Your access to the Products may be occasionally restricted to allow for repairs, maintenance, or the introduction of new facilities or Products. We will restore the Products as soon as we reasonably can. If the Products are unavailable, our usual Order and cancellation deadlines apply; please notify us of changes to your Order by emailing support@whitewinginsurance.com.

7. DISCLAIMER
The information contained in the WWIS membership and related Products is for general information purposes only. While we endeavor to keep the information up-to-date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability with respect to the Products or the information contained on the Products for any purpose. Any reliance you place on such information is therefore strictly at your own risk.

7.1 WWIS is a provider of online and mobile quoting and application services in the health insurance space. We are not a health care or education provider, nor should our Products be considered medical advice. WWIS makes no claims, representations, or guarantees that the Products or Services provide a medical benefit.
7.2 Any health information and links on the WWIS membership and related Products and Services, whether provided by WWIS or by contract from outside providers, are provided simply for your convenience.
7.3 Any advice or other materials in the Products are intended for general information purposes only. The advice and other materials we make available are intended to support the relationship between you, your client, your insurance carrier, and any other healthcare Vendor and not replace it. We are not liable or responsible for any consequences of your having read or been told about such advice or other materials as you assume full responsibility for your decisions and actions. To the fullest extent permitted by law, we make no representation or warranties about the accuracy, completeness, or suitability for any purpose of the advice, other materials, and information published as part of the WWIS membership and related Products and Services.

8. END USER WWIS MEMBERSHIP
8.1 Subject to the terms of this WWIS membership, as set out in these Terms, and your payment of applicable subscription fees, WWIS grants you a limited, revocable membership to use the related Products and services.

8.2 The Products contain or embody copyrighted material, proprietary material, or other intellectual property of WWIS or its licensors. All right, titles, and ownership in the Products remain with WWIS or its licensors, as applicable. The rights to download and use the WWIS Membership and related Products are licensed to you and are not being sold to you, and you have no rights in them other than to use them in accordance with these Terms.

8.3 You agree that you will not, and you will not assist or permit any third party to:

(a) Copy, store, reproduce, transmit, modify, alter, reverse-engineer, emulate, de-compile, or disassemble the Products in any way, or create derivative works of the Products.

(b) Use the Products or any part of them to create any tool or software product that can be used to create software applications of any nature whatsoever.

(c) Rent, lease, loan, make available to non-members, sell, or distribute the Products in whole or in part.

(d) Tamper with the Products or circumvent any technology used by WWIS or its licensors to protect any content accessible through the Products.

(e) Circumvent any territorial restrictions applied to the Products; or
-
(f) Use the Products in a way that violates these Terms.

9. Cancellation Policy
A. General WWIS Membership Cancellation. WWIS membership is not transferable or refundable.

B. Monthly Payment Option Cancellation. To cancel your enrollment in the Monthly Payment option, you must contact WWIS accounting@whitewinginsurance.com. Cancellation of your enrollment in the Monthly Payment option will render any remaining outstanding membership dues balance immediately due and payable in full.
Failure to pay outstanding membership dues in a timely manner will result in the termination of your WWIS membership including a penalty payment. Please note your membership can be canceled anytime, and Agency Enterprise can be canceled after 12 months. If you like to cancel prior to the cut-off time you would need to pay a three-month breakup penalty fee.
10. CHOICE OF LAW
Except to the extent, they are preempted by U.S. federal law, the laws of California, other than its conflict-of-laws principles, govern these Terms and any disputes arising out of or relating to these Terms or their subject matter, including tort claims.

11. SEVERABILITY
If any provision of these Terms is found unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions.
